Minutes from the planning side of town halls, AGMs and big internal meetings

Hybrid shareholder meetings

A town hall can survive a shaky stream. A shareholder meeting is held to a different standard. An AGM may involve controlled access, formal proceedings, questions, resolutions, voting and a record of what happened, and adding remote participation creates a second layer that has to work just as reliably as the room.

This note is general planning guidance only, not legal advice. Requirements on meeting procedure, identity, voting, records and personal data change over time, so check current requirements with ACRA, with SGX where relevant, and with your company secretary before you settle anything.

Item: start with the meeting model

Before anyone looks at a platform demo, the organisation and its advisers should agree who may attend, who may speak, who may vote and how exceptions are handled. A feature list cannot answer those questions; it can only support the answers once they exist.

Item: map each participant's journey

Walk through the meeting from invitation to the final follow-up for several kinds of participant: an eligible shareholder, a proxy or representative, an invited guest and someone who needs help. Gaps tend to appear where these paths cross, such as a proxy who registered online but turns up at the venue.

A clear walk-through of the stages, from entry to proceedings to the close, is set out in Get Out! Events' guide to mapping the shareholder journey for a hybrid meeting.

Item: one owner per decision

Governance decisions sit with the organisation and its advisers. Platform providers may handle hosting, access, webcast or voting functions. The event team runs registration, queues and production. Write all of this into one runbook so that, on the day, nobody has to guess who can change a setting or answer a shareholder.

Item: rehearse the exceptions

Lost credentials, late arrivals and dropped connections will happen. Agree how each is escalated and what the participant sees while it is resolved, then rehearse them with real people playing the roles.

Action for the planner: get the company secretary, investor relations, IT and the event team into one working session before any supplier is briefed.
